These Terms of Service ("Terms") govern your access to and use of the services provided by Sarudo ("we," "us," or "our"), including the Sarudo AI Employee platform and all related tools, integrations, and support. Please read these Terms carefully before using our services.

1. Acceptance of Terms

By accessing or using Sarudo's services, you agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.

If you do not agree to these Terms, you may not access or use our services. Continued use of our services after any modifications to these Terms constitutes your acceptance of such modifications.

2. Description of Services

Sarudo provides an AI Employee platform that delivers a dedicated, intelligent digital worker for your business. Our services include:

  • A custom-trained AI employee tailored to your business operations and knowledge base
  • Dedicated Linux VPS infrastructure provisioned exclusively for your AI employee
  • Multi-channel communication capabilities, including email, messaging platforms, voice, and web chat
  • Integration with third-party tools and services as configured during onboarding
  • Ongoing support, maintenance, and platform updates
  • A knowledge base system for training and customizing your AI employee's capabilities

The specific capabilities and features available to you may vary based on your subscription plan and the configuration established during your onboarding process.

3. Account and Access

To use Sarudo's services, you must complete our onboarding process and provide accurate, complete information about your business and intended use of the AI employee.

  • Credentials: You are responsible for maintaining the confidentiality of any access credentials, API keys, or authentication tokens provided to you. You must immediately notify us of any unauthorized access or use of your account.
  • Authorized Users: You are responsible for ensuring that only authorized personnel within your organization access and interact with your AI employee and its management interfaces.
  • Accurate Information: You agree to provide accurate and up-to-date information during onboarding and throughout your use of our services. Inaccurate information may affect the performance of your AI employee.

4. Payment Terms

Sarudo's pricing consists of the following components:

  • Setup Fee: A one-time setup fee of $3,000 USD, payable upon signing up. This covers initial infrastructure provisioning, AI employee training, knowledge base configuration, and onboarding support.
  • Monthly Subscription: A recurring monthly fee of $1,000 USD, billed at the beginning of each billing cycle. This covers ongoing infrastructure costs, platform maintenance, updates, and standard support.

All fees are quoted in US Dollars unless otherwise agreed in writing. Payments are due upon invoice and are non-refundable except as specified in our Refund Policy. Late payments may result in suspension of services after a 7-day grace period and written notice. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Service Level

Sarudo is committed to providing reliable, high-quality service for your AI employee. Our service level commitments include:

  • Uptime: We target 99.5% uptime for your AI employee infrastructure, measured on a monthly basis. Detailed commitments are outlined in our Service Level Agreement.
  • Maintenance: Scheduled maintenance windows will be communicated at least 48 hours in advance and are typically performed during low-traffic periods.
  • Support: We provide email support with a target response time of 24 hours for general inquiries and 4 hours for critical issues affecting service availability.

6. Intellectual Property

Sarudo's Property: The Sarudo platform, including all software, algorithms, models, user interfaces, documentation, and related intellectual property, is and remains the exclusive property of Sarudo and its licensors. These Terms do not grant you any ownership rights in our platform.

Client's Property: You retain full ownership of all data, documents, knowledge base content, and other materials you provide to or generate through the Sarudo platform. We claim no ownership rights over your business data, proprietary information, or the knowledge base you build for your AI employee.

7. Client Data

We collect and process data as necessary to provide our services. This includes business information you provide during onboarding, documents and knowledge base content you upload, conversation data between your AI employee and end users, and usage analytics.

You retain full ownership of all data you provide to or generate through our platform. We use your data solely to operate, maintain, and improve the services we provide to you. We do not use your data to train models for other clients. For more details, please refer to our Privacy Policy and Data Processing Agreement.

8. Acceptable Use

Your use of Sarudo's services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the AI employee for any illegal, harmful, or unauthorized purposes. Violations of the Acceptable Use Policy may result in warnings, suspension, or termination of your service at our discretion.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the service relationship ("Confidential Information").

  • Sarudo's Obligations: We will treat your business data, knowledge base contents, operational details, and any proprietary information as confidential. We will not disclose your Confidential Information to third parties except as necessary to provide our services or as required by law.
  • Client's Obligations: You agree to maintain the confidentiality of any Sarudo proprietary information, including but not limited to platform architecture details, pricing arrangements, and technical documentation not publicly available.
  • Duration: Confidentiality obligations survive the termination of these Terms for a period of two (2) years.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sarudo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our services.

Sarudo's total aggregate liability for all claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you to Sarudo during the twelve (12) months immediately preceding the event giving rise to the claim.

The AI employee is a tool designed to assist with business operations. Sarudo does not guarantee the accuracy, completeness, or appropriateness of any responses generated by the AI employee. You are responsible for reviewing and validating AI-generated outputs, particularly for critical business decisions, legal matters, or communications with your end users.

11. Termination

  • By Either Party:Either party may terminate these Terms with 30 days' written notice to the other party.
  • By Sarudo for Cause: We may suspend or terminate your access immediately if you materially breach these Terms, violate the Acceptable Use Policy, fail to make timely payments after notice, or engage in conduct that poses a risk to our platform or other users.
  • Data Export: Upon termination, you may request an export of your data, including knowledge base contents and conversation history. We will make this data available for download for 30 days following termination.
  • Setup Fee Refund:If you terminate within 30 days of your AI employee's initial deployment, you may be eligible for a refund of the setup fee as described in our Refund Policy.

12. Modifications

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by email to the address associated with your account. Your continued use of our services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you may terminate your subscription in accordance with the termination provisions above.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India. Both parties agree to submit to the personal jurisdiction of such courts.
